These Terms of Service ("Terms") govern your access to and use of the Gadura Commerce platform ("Platform"), operated by Gadura Limited Liability Company ("Gadura", "we", "us", "our"), a company registered in England, with its principal office at 3rd Floor, 86–90 Paul Street, London EC2A 4NE, United Kingdom.
By accessing or using the Platform, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.
Gadura Commerce is a multi-tenant software-as-a-service (SaaS) platform that enables businesses ("Hub Owners") to create and operate online wholesale and retail trade hubs ("Hubs"). Each Hub may list products from multiple traders or suppliers, and accept orders from registered buyers.
Gadura Commerce is the technology provider only. We do not manufacture, sell, ship, or fulfil any products listed on any Hub. We are not a party to any transaction between Hub Owners, Traders, and Buyers.
Hub Owners are businesses or individuals who subscribe to the Platform to create and operate a Hub. Hub Owners are the merchant of record for all transactions on their Hub and are solely responsible for their products, pricing, fulfilment, returns, refunds, and regulatory compliance.
Traders / Suppliers are businesses or individuals whose products are listed within a Hub, as managed by the Hub Owner. Traders may or may not have direct access to the Platform depending on the Hub Owner's configuration.
Buyers are individuals or businesses who register on a Hub to browse products, place orders, and communicate with Hub Owners or Traders.
Hub Owners subscribe to the Platform on a monthly or annual basis. Subscription fees are collected by Gadura via Stripe. A 30-day free trial is offered for new subscriptions.
Subscriptions renew automatically unless cancelled before the renewal date. Hub Owners may cancel at any time through the billing management page. Upon cancellation, access continues until the end of the current billing period.
Where applicable under the Consumer Contracts Regulations 2013 (UK) or equivalent EU consumer protection laws, consumers (natural persons not acting in a business capacity) have a statutory 14-day cooling-off period from the date of subscription during which they may cancel for a full refund, provided they have not materially used the service beyond initial setup.
All product sales, purchases, and related transactions occur directly between Hub Owners (or their Traders) and Buyers. Gadura Commerce is not a party to these transactions and bears no responsibility for:
Hub Owners are required to display their own refund and return policies on their Hub storefront and to comply with all applicable consumer protection laws in the jurisdictions where they sell.
Trade payments (payments for products) are processed through the Hub Owner's own payment provider (such as Paystack, Flutterwave, or manual bank transfer). Gadura does not hold, process, or have access to trade payment funds.
Platform subscription payments are processed by Stripe on behalf of Gadura. By subscribing, you agree to Stripe's terms of service.
All users must provide accurate information, maintain the security of their credentials, comply with all applicable laws, not use the Platform for fraudulent or illegal purposes, and not attempt to access another user's account or data.
Hub Owners additionally must comply with all applicable trade, export, consumer protection, and data protection regulations in the jurisdictions where they operate, including but not limited to the UK Consumer Rights Act 2015, the EU Consumer Rights Directive, and Nigerian consumer protection laws.
The Gadura Commerce platform, including its design, code, features, documentation, and branding, is owned by Gadura Limited Liability Company. Hub Owners retain ownership of their own content, including product listings, images, and brand assets uploaded to the Platform.
We process personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR), the EU General Data Protection Regulation (EU GDPR), and the Nigeria Data Protection Regulation (NDPR).
Hub Owners who collect personal data from Buyers through their Hub are independent data controllers and are responsible for their own compliance with applicable data protection laws.
To the maximum extent permitted by law, Gadura shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunities, arising from your use of the Platform.
Our total aggregate liability for any claim arising from or related to these Terms or the Platform shall not exceed the total subscription fees paid by you in the twelve (12) months preceding the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
Hub Owners agree to indemnify and hold harmless Gadura from any claims, damages, losses, or expenses arising from their use of the Platform, their product listings, their transactions with Buyers, or their violation of these Terms or applicable law.
We may suspend or terminate your access to the Platform at any time if you violate these Terms or engage in conduct that we reasonably believe is harmful to other users or to the Platform. You may terminate your account at any time by contacting us at commerce@gadura.com or using the account deletion feature in your settings.
These Terms are governed by the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales, without prejudice to any mandatory consumer protection provisions that may apply in your jurisdiction of residence.
For users in the European Union, nothing in these Terms affects your statutory rights under EU consumer protection law. For users in Nigeria, nothing in these Terms overrides your rights under the Federal Competition and Consumer Protection Act 2018 or the NDPR.
We may update these Terms from time to time. Material changes will be notified to registered users by email at least 14 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
